Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Service") provided by Partnr LLC ("Partnr," "we," "us," or "our"), a company registered in Idaho, United States.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Partnr provides a software platform that helps alliance and partnership teams manage their cloud partnerships — including tracking certifications, funding programs, co-sell activity, partner relationships, and related work — along with associated insights and features. We may update, modify, or improve the Service over time.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at ross@getpartnr.co if you suspect unauthorized use of your account.

3. Free Trial

We may offer a free trial of the Service for a limited period (for example, 14 days), without requiring a credit card up front. At the end of the trial, you may choose to subscribe to a paid plan to continue using the Service. If you do not subscribe, your access may be limited or suspended. We reserve the right to modify or discontinue trial offers at any time.

4. Subscriptions, Billing, and Cancellation

Subscriptions. Paid access to the Service is offered on a subscription basis. Current pricing is presented at the point of purchase. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis.

Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. The applicable subscription fee will be charged to your payment method at the start of each billing period.

Cancellation. You may cancel your subscription at any time through the billing portal. When you cancel, your subscription remains active through the end of the current billing period, after which it will not renew.

Refunds. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods or unused time.

Price changes. We may change our pricing from time to time. We will provide notice of price changes, and changes will apply to billing periods after the notice takes effect.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, copy, or create derivative works of the Service except as permitted by law;
  • Use the Service to store or transmit malicious code, or to infringe the rights of others;
  • Resell or provide the Service to third parties without our authorization.

6. Your Data and Connected Accounts

Your data. You retain ownership of the data and content you submit to the Service ("Your Data"). You grant us a limited license to use, store, and process Your Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Your Data and for having the rights necessary to provide it to us.

Connected accounts. If you connect a third-party cloud partner account (such as AWS Partner Central), you authorize us to access certain data from that account on a read-only basis using the credentials you provide. You are responsible for the credentials you supply and for ensuring you have the right to connect those accounts. We access connected accounts only as needed to provide the Service and do not modify data within them.

7. Intellectual Property

The Service, including all software, design, text, and other materials we provide (excluding Your Data), is owned by Partnr and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

8. AI-Generated Content

The Service includes features that use artificial intelligence to generate insights, recommendations, summaries, and other output. AI-generated output may be inaccurate, incomplete, or unsuitable for your specific situation. It is provided for informational purposes only and does not constitute professional, legal, financial, or business advice. You are solely responsible for reviewing, verifying, and deciding whether to act on any AI-generated output.

9. Third-Party Services

The Service relies on and may link to third-party services (such as Stripe, Supabase, Resend, Anthropic, and cloud partner platforms). We are not responsible for the availability, content, or practices of third-party services, and your use of them may be subject to their own terms and policies.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any result, insight, or recommendation provided through the Service will be accurate or achieve any particular outcome.

11. Limitation of Liability

To the maximum extent permitted by law, Partnr and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Partnr from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law

These Terms are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Idaho, except where prohibited by applicable law.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
